MI Studio Space LLC Event Host Contract This contract is between signed host & MI Studio Space, LLC for the event as described. Any waived fees or collaboration-based arrangements must be discussed in advance and approved by Studio Owner, Emina Delic. The Studio will list the event on the MI Studio Space website, Socials and collect registrations. No ticket sales will be collected by the Studio under this option. Please note, all event offers hosted at the Studio must have all attendees registered in advance. A Studio representative will be available during hosting hours. Please note: The Host is responsible for actively advertising and promoting their own event on all available platforms and helping recruit attendees. The Studio may help support promotion by mentioning the event in email event blasts, social media posts, stories, reels, or other studio communication channels if requested by the Host. The Studio’s marketing support is meant to help amplify the event, but it does not replace the Host’s responsibility to promote the event to their own audience, network, collaborators, models, photographers, vendors, or intended attendees. The Host must provide the Studio with enough approved content and event details to promote the event clearly. This may include images, video clips, event descriptions, model/styling details, registration information, deadlines, vendor tags, captions, Canva links, Pinterest links, mood boards, and event updates. If requested by the Host, the Studio may help create or adjust promotional visuals for studio marketing purposes. When possible, the Host should provide a Canva link or editable design file with their chosen visuals, fonts, colors, branding, and event details. The Studio may adjust these materials as needed for sizing, layout, wording, platform requirements, or studio-branded promotion. The Host is encouraged to provide a Pinterest link, mood board, or creative direction board to help communicate the overall event concept, styling, colors, wardrobe, props, posing ideas, set design, lighting inspiration, or event vibe. Pinterest links and inspiration boards may be used for planning purposes, but they are not automatically approved for public marketing use. Any images used in public event promotion must either be created by the Host, properly licensed, or used with permission from the original creator. The Studio does not guarantee attendance numbers, registration numbers, or a specific number of promotional posts, emails, reels, stories, or shares. The Studio will not provide additional paid advertising, including boosted posts, paid social media ads, or other paid marketing, unless separately discussed and agreed upon in writing. The Studio will not purchase styling elements, props, wardrobe, decor, supplies, or other items specific to the event. The Host is responsible for any event-specific purchases, styling, models, makeup artists, wardrobe, props, creative direction, or other creative elements needed for the event. Only items normally available during a regular studio rental will be available for the event unless otherwise agreed upon. This option does not include new images, video, or content created by Mina’s Photo or MI Studio Space. The Studio may rework content provided by the Host for website listings, emails, social media posts, reels, or event highlights. Host Option 2 — Ticket Sales with Minimal Collaboration The Studio will list the event on the MI Studio Space website and collect ticket sales. The Studio is responsible for ticket sale transaction fees. The Host should include their suggested ticket investment on the event inquiry form. The Studio hosts the event for the approved date and time. A Studio representative will be available during the event hosting hours. Please note: The Host is responsible for actively promoting their own event and helping recruit attendees. The Studio may support marketing efforts by listing the event on the website and may help promote the event through MI Studio Space’s email list, social media, stories, reels, and other studio communication channels. The Studio’s marketing support is meant to help amplify the event, but it does not replace the Host’s responsibility to promote the event to their own audience, network, collaborators, models, photographers, vendors, or intended attendees. The Host must provide the Studio with enough approved content and event details to keep marketing current as the event date approaches. This may include images, video clips, event descriptions, model/styling details, deadlines, ticket information, vendor tags, captions, and event updates. If requested by the Host, the Studio may help create or adjust promotional visuals for studio marketing purposes. When possible, the Host should provide a Canva link or editable design file with their chosen visuals, fonts, colors, branding, and event details. The Studio may adjust these materials as needed for sizing, layout, wording, platform requirements, or studio-branded promotion. The Studio’s visual support is intended to help promote the event, but it does not replace the Host’s responsibility to create, provide, and approve the main event content and marketing materials. The Host is encouraged to provide a Pinterest link, mood board, or creative direction board to help communicate the overall event concept, styling, colors, wardrobe, props, posing ideas, set design, lighting inspiration, or event vibe. Pinterest links and inspiration boards may be used for planning purposes, but they are not automatically approved for public marketing use. Mood boards should clearly identify actual items, sets, wardrobe, props, styling pieces, or creative elements that will be used for the event whenever possible. The Studio does not guarantee ticket sales, attendance numbers, or a specific number of promotional posts, emails, reels, stories, or shares. If no tickets have been sold seven days prior to the event date, the Studio reserves the right to review the event and determine whether it should move forward as scheduled. This may include discussing additional marketing, adjusting event details, postponing the event, or canceling the event if there does not appear to be enough interest to support the event. The Studio will not provide additional paid advertising, including boosted posts, paid social media ads, or other paid marketing, unless separately discussed and agreed upon in writing. The Studio will not purchase styling elements, props, wardrobe, decor, supplies, or other items specific to the event. The Host is responsible for any event-specific purchases, styling, models, makeup artists, wardrobe, props, creative direction, or other creative elements needed for the event. Only items normally available during a regular studio rental will be available for the event unless otherwise agreed upon. This option does not include new images, video, or content created by Mina’s Photo or MI Studio Space. The Studio may rework content provided by the Host for website listings, emails, social media posts, reels, or event highlights. Ticket Sales Revenue Split: Studio fees are 50% of ticket sales. The Host is paid the remaining 50% of ticket sales. The Host must be able to provide a professional invoice to the Studio for hosting services. After the event, the Studio will create an event breakdown and calculate the final amount owed to the Host. The Host will then invoice the Studio based on that amount. Host Option 3 — Studio Managed Event / Profit Split with Host This option is for events where MI Studio Space will take a more active role in managing and promoting the event, with Studio Owner, Emina Delic, involved as an event co-host through MI Studio Space and/or her creative business, Mina’s Photo, LLC. The Studio will list the event on the MI Studio Space website and collect ticket sales. The Studio is responsible for ticket sale transaction fees. The Host should include their suggested ticket investment on the event inquiry form. The Studio hosts the event for the approved date and time. A Studio representative will be available during event hosting hours. Please list any intended needs from Mina’s Photo, LLC for this event. This may include photography, images, video content, social media content, email visuals, creative direction, promotional content, or other forms of involvement. Please note: This option includes a higher level of collaboration between the Host, MI Studio Space, and Mina’s Photo, LLC. The Studio may help manage, promote, organize, and create promotional content for the event depending on the approved event plan. The Host is still responsible for actively helping advertise and promote the event to their own audience, network, collaborators, models, photographers, vendors, or intended attendees. The Studio’s marketing support is meant to help amplify the event, but it does not fully replace the Host’s responsibility to help recruit attendees. The Host must provide the Studio with enough approved content and event details to keep marketing current as the event date approaches. This may include images, video clips, event descriptions, model/styling details, deadlines, ticket information, vendor tags, captions, Canva links, Pinterest links, mood boards, and event updates. If requested or needed, the Studio may help create or adjust promotional visuals for studio marketing purposes. The Studio does not guarantee ticket sales, attendance numbers, or a specific number of promotional posts, emails, reels, stories, or shares. If no tickets have been sold seven days prior to the event date, the Studio reserves the right to review the event and determine whether it should move forward as scheduled. This may include discussing additional marketing, adjusting event details, postponing the event, or canceling the event if there does not appear to be enough interest to support the event. The Studio will not provide additional paid advertising, including boosted posts, paid social media ads, or other paid marketing, unless separately discussed and agreed upon in writing. The Studio will not purchase styling elements, props, wardrobe, decor, supplies, pay models, pay vendors, or purchase items specific to the event unless these costs are pre-approved in writing. Only items normally available during a regular studio rental will be available for the event unless otherwise agreed upon. Ticket Sales Breakdown Studio fees are 50% of ticket sales. The remaining profit will be split between Mina’s Photo, LLC and the Co-Host. Host payout will be calculated by first taking the Studio’s 50% fee from ticket sales. Any pre-approved event budget, costs, or expenses associated with the execution of the event will then be calculated and deducted before the remaining profit is split. Any expenses must be pre-approved in writing and clearly noted in the event plan or event description in order to be included in the final payout calculation. After approved expenses are deducted, the remaining event profit will be split equally between the event hosts unless otherwise agreed upon in writing. The Host must be able to provide a professional invoice to the Studio for hosting services. After the event, the Studio will create an event breakdown and calculate the final amount owed. The Host will then invoice the Studio based on that amount. We trust you to make necessary accommodations and go that extra mile to ensure every attendee leaves with a smile and a head full of new ideas. Cancellation Policy Notice of Changes or Cancellation: Communicate any changes or cancellations as early as possible. Approval by Owner: Emina Delic, Owner of MI Studio Space, LLC, must exclusively approve any event cancellations or significant changes. This is crucial for effective scheduling and accommodation. Consequences of Unapproved Changes: In the event of unnecessary cancellation or change not approved by Emina Delic or if parties cannot agree on how to proceed: --The applying host will be responsible for refunding all ticket purchases to the ticket holders in full. --Any funds already collected by the studio in relation to the event will be kept by MI Studio Space, LLC. Studio's Agreement Specifications No sexual conduct/ pornographic content shall be photographed or recorded at MI STUIO SPACE. Creators will work within artistic freedom and expression within these sessions/events/workshops. Any content created at MI Studio Space can can be seen as Obscene will not be allowed. However, Owner of MI Studio Space, LLC reserves, in her sole discretion, to determine the definition of pornographic material and will not condone the recording of photograph/ video or such material. Owner is mostly okay with implied material but NEVER a sexual act. Any attempt to force or harass any event goers to photograph scenes despite refusal shall result in the ending of said event without any refund or any final images/ product delivered regardless of the time length of the session to that point or purchased tickets. 752.364 “Sexual conduct” defined. Sec. 4. (1) “Sexual conduct” means 1 or more of the following: (a) Representations or descriptions of ultimate sexual acts, normal or perverted, actual or simulated. (b) Representations or descriptions of masturbation, excretory functions, or a lewd exhibition of the genitals. (2) “Simulated” means the explicit depiction or description of any of the types of conduct set forth in the definition of sexual conduct under subsection (1), which creates the appearance of such conduct. (3) “Ultimate sexual acts” means sexual intercourse, fellatio, cunnilingus, anal intercourse, or any other intrusion, however slight, of any part of a person’s body or of any object into the genital or anal openings of another person’s body, or depictions or descriptions of sexual bestiality, sadomasochism, masturbation, or excretory functions. 752.362 Definitions; C to O. (5) “Obscene” means any material that meets all of the following criteria: (a) The average individual, applying contemporary community standards, would find the material, taken as a whole, appeals to the prurient interest. (b) The reasonable person would find the material, taken as a whole, lacks serious literary, artistic, political, or scientific value. (c) The material depicts or describes sexual conduct in a patently offensive way. Any attempt to harass, solicit, or compel photographer/model/creative or others attending events sexually shall result in the ending of said session/event/workshop without any refund or any final image/s product delivered regardless of the time length of the session/event/workshop and will be told to leave. Model understands and agrees that ALL images produced from this session/workshop/event can be shared freely on any platforms by all creators. Photographers/ Studio/ Artists/ Vendors/Content creators or other are not required to share any photos with others, Especially photographers that paid to participate in event/workshop/session. Verbal agreements & studio event offers with be discussed separate from this contract. Models agree that they will not edit/change or alter files/photos that any photographers share with model. Everyone will follow all laws in regards to intellectualproperty rights. Be sure to find out intellectual property owner sharing/tagging and distribution preferences before any content is used. All creatives involved in event/workshop/session when intellectual property is used will credit each creative involved per creatives preference. Use aliases when applicable. For any events that state Boudoir or any form of nudity or adult content a Photo ID will be required with ticket purchase. Be sure to bring your ID to the event as well. With a purchase of a ticket you verify that you are at least 18 years of age AND graduated/ are not of High School Grade Age. A copy of Driver’s License, State ID or other proof of age identification is required. Law and Jurisdiction Photographer and Client(s) hereby agree that this agreement was signed in the State of Michigan and that the laws of the State of Michigan will govern any dispute arising from this contract. Any dispute regarding the terms and conditions herein, or dispute arising from the session itself, shall be brought in the applicable state or federal courts of Grand Rapids, Kent County, Michigan, and the Photographer and Client(s) hereby submit to the personal jurisdiction of those courts. Entire Agreement This constitutes the entire agreement of the parties and may not be amended or modified without written agreement of the parties.
